AGREEMENT TO OUR LEGAL TERMS
We are XC TRAINING AND SERVICES PVT LTD, doing business as Maximum Learning and ML (“Company,” “we,” “us,” “our“), a company registered in India at CH-15 Chhijarsi, Sector 63A, Noida, Uttar Pradesh 201301.
We operate the website https://maximumlearning.io (the “Site“), as well as any other related products and services that refer or link to these legal terms (the “Legal Terms“) (collectively, the “Services“).We are an open learning and teaching platform where anyone can become a teacher by listing their own course and teaching live.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you“), and XC Training and Services Pvt Ltd, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the “Last updated” date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.The Services are intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services. If you are a minor, you must have your parent or guardian read and agree to these Legal Terms prior to you using the Services.

Maximum Learning offers an online platform where individuals can teach live, publish recorded courses, and learners of all age groups can access educational content. The platform supports a wide range of skill-based, academic, and career-oriented courses.
All Services are governed by Indian laws, specifically within the jurisdiction of Noida, Uttar Pradesh. Users from outside India access the platform at their own risk and must comply with local regulations.
All content, software, designs, trademarks, logos, and materials provided on Maximum Learning (collectively, “Content”) are owned by or licensed to us and protected under applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, educational, or instructional purposes. You may not use, modify, reproduce, distribute, or exploit our content without express written consent.
By using our platform, you represent and warrant that:
All registration information you submit is truthful and accurate.
You will maintain the accuracy of such information.
You are legally competent to enter into this agreement.
You will not use the platform for any unlawful or unauthorized purposes.
We reserve the right to terminate your access if any information provided is untrue, inaccurate, or incomplete.
Users must register for an account to access certain features. You agree to:

Keep your password confidential.
Notify us of any unauthorized access.
We reserve the right to refuse registration or deactivate accounts violating these terms.
We may offer digital or physical products (including course kits or merchandise). All descriptions and pricing are subject to change without notice. We do not guarantee product availability.
You agree to provide accurate payment information. All payments must be made in INR unless otherwise stated. You authorize us to charge your payment method for all purchases.
We reserve the right to correct pricing errors and to refuse or cancel orders at our discretion.
Refunds are subject to course-specific policies. In general:
Refunds are only available within the first 7 days of enrollment.
No refunds are issued after course completion or certificate issuance.
Instructors receive payment only after a student becomes ineligible for a refund.
You agree not to:
Use the platform for any illegal purpose.
Harass, defraud, or threaten others.
Upload or transmit harmful code or content.
Bypass or attempt to bypass security features.
Reproduce or distribute our platform content without authorization.
Users may post content (comments, reviews, assignments, etc.) to the platform. By submitting content, you agree that:
It does not infringe intellectual property rights.
It is not defamatory, abusive, or harmful.
You grant us a royalty-free license to use and display it.
By posting content on Maximum Learning, you grant us an unrestricted, worldwide, royalty-free, perpetual license to use, copy, display, and distribute your contributions on or through the platform and related channels, including for promotional purposes.
Users may submit reviews for courses or instructors, provided that:
Reviews must be based on actual experience.
Reviews must not contain offensive, discriminatory, or false claims.
You may not post reviews in exchange for compensation or to manipulate ratings.
We reserve the right to remove reviews that violate these guidelines or are deemed misleading.
The platform may contain links to third-party websites or display content originating from third parties. We are not responsible for:
The accuracy or legality of third-party content.
Any damage or loss caused by your interaction with such content.
You access third-party sites at your own risk and are encouraged to review their terms.
We reserve the right, but not the obligation, to:
Monitor the platform for violations.
Take legal action against users violating the law or these Terms.
Remove or disable user content that is deemed inappropriate or harmful.
Restrict access or suspend Services to any user, without notice.

Upon termination, your access to the platform and your license to use the Services will cease immediately.
We reserve the right to:
Modify, suspend, or discontinue the platform at any time.
Perform maintenance without prior notice.
We are not liable for any loss, damage, or inconvenience caused by service downtime or changes.
These Terms shall be governed and interpreted in accordance with the laws of India. Any disputes shall fall under the jurisdiction of courts located in Noida, Uttar Pradesh.
Disputes should first be addressed through mutual discussion. If unresolved, disputes will be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.
Arbitration will take place in Noida, Uttar Pradesh. Each party will bear its own costs.
Information on the platform may contain typographical errors, inaccuracies, or omissions. We reserve the right to correct such errors without prior notice.
The Services are provided on an “as-is” and “as-available” basis. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Services will be uninterrupted, secure, or error-free.
To the fullest extent permitted by law, Maximum Learning shall not be liable for:
Any indirect, incidental, special, consequential, or punitive damages.
Any loss of profits, data, or goodwill.
Damages resulting from the use or inability to use the platform.
Our total liability, in any case, shall not exceed the amount paid by you for the Services in the preceding three months.
You agree to defend, indemnify, and hold harmless Maximum Learning and its affiliates, directors, officers, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from:

Your breach of these Terms
Any content you submit or create
Your violation of any rights of a third party
We maintain certain data you transmit for the purpose of managing the Services. Although we take reasonable precautions, you are solely responsible for backing up your data.
We are not liable for any loss or corruption of your data.
Using our platform constitutes your consent to receive electronic communications from us. You agree that:
Emails and notices satisfy any legal requirement that such communications be in writing.
You may electronically sign documents, which will be valid and legally binding.
If any complaint with us is not satisfactorily resolved, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.
These Terms constitute the entire agreement between you and us regarding the Services. Our failure to enforce any provision shall not waive our right to enforce it later.
If any provision is found unenforceable, the rest shall remain in full force.
The Maximum Learning International Training Model (MLITM) may involve:
Internship and placement opportunities
Industry certification
International trips or collaboration programs
All such benefits are subject to course completion, conduct, availability, and internal approval.

These terms apply to all instructors creating or publishing courses on Maximum Learning.
Instructors agree not to promote, sell, or share their courses or similar offerings outside Maximum Learning. Any attempt to divert students to external platforms will result in permanent removal.
Instructors must not engage in personal, promotional, or direct communication with students outside the platform. This includes:
WhatsApp groups
Promotional emails
Social media DMs
All interaction must remain within the platform to ensure student privacy and safety.
90% of course revenue (after GST) is paid to the instructor for organic sales and add-on bundles.
Revenue from paid marketing is shared as agreed upon in writing between the instructor and Maximum Learning.
Revenue is disbursed in scheduled parts depending on course duration.
No payment is processed until the student becomes ineligible for a refund.
Instructors cannot abandon or remove courses once published without prior approval. Doing so may result in:
Payment being withheld
Legal action in case of financial losses
Repeated negative reviews or low student satisfaction may lead to course removal or instructor banning.
Maximum Learning reserves the right to terminate instructor accounts based on platform standards.
Instructors will not receive any share from sales that are later refunded. Course sales are considered final only after the refund window closes.
If an instructor violates any policy, Maximum Learning reserves the right to:
Ban the instructor permanently
Hold or cancel pending payouts
Pursue legal action if necessary
Instructors may not resell content or clone courses from other platforms.
Course content must be original or have licensed rights.
